Terms of Service

These Terms of Service (“Terms”) govern access to and use of Badger HR (the “Service”), operated by Future Mill Limited (“we”, “us”, or “our”).

By using the Service, you agree to these Terms. If you do not agree, please do not use the Service.


1. About Badger HR

Badger HR is a business-to-business human resources platform designed to help organisations manage employee information, documents, and HR processes.

The Service is intended for business use only.


2. Accounts and Access

To use the Service, you must create an account and provide accurate, current information. You are responsible for maintaining the security of your login details and for all activity that occurs under your account.

You are also responsible for ensuring that any users you authorise to access the Service comply with these Terms.


3. Acceptable Use

You agree to use the Service lawfully and responsibly. You must not:

  • Use the Service for any unlawful purpose
  • Attempt to access data that does not belong to you
  • Introduce malware or interfere with the Service’s security or operation
  • Circumvent access controls or usage limits
  • Resell or sublicense the Service without our written permission

We may suspend access if we reasonably believe the Service is being misused.


4. Data Protection and GDPR

Because Badger HR is used to process employee data, data protection is central to the Service.

Roles

  • You act as the data controller for employee and workforce data
  • Future Mill Limited acts as the data processor for that data

For account, billing, and website data, we act as the data controller.

Responsibilities

You are responsible for ensuring that you have a lawful basis to process personal data and for complying with applicable data protection laws.

Data Processing Agreement

Our Data Processing Agreement (DPA) forms part of these Terms and describes how personal data is processed.

Subprocessors

We may use trusted third-party service providers to deliver the Service. A current list is available on our Subprocessors page.


5. Confidentiality

Each party agrees to keep the other party’s non-public information confidential and to use it only for purposes related to the Service.

These obligations continue after the Service ends.


6. Your Data

Ownership

You retain all rights to the data you upload to the Service.

Permission to Process

You grant us a limited right to host, process, and back up your data solely to provide and operate the Service.

Backups

We perform routine backups, but you remain responsible for maintaining your own copies of important data.


7. Security

We apply reasonable technical and organisational measures designed to protect your data. However, no online service can guarantee absolute security.


8. Fees and Payment

If you subscribe to a paid plan:

  • Fees are charged in advance on a monthly or annual basis
  • Prices are exclusive of VAT and other applicable taxes
  • Subscriptions renew automatically unless cancelled before renewal
  • Non-payment may result in suspension of access

Except where required by law, fees are non-refundable.


9. Suspension and Termination

Suspension

We may temporarily suspend access for non-payment, security risks, or material breaches of these Terms.

Termination

Either party may terminate the agreement by providing written notice. We may terminate immediately in cases of serious breach, fraud, or unlawful use.


10. Access to Your Data After Termination

You may export your data at any time while your subscription is active and for 30 days after termination.

After this period, your data will be securely deleted in accordance with our retention and backup policies, unless retention is required by law.


11. Intellectual Property

We retain all rights to the Service, including its software, design, and underlying technology. These Terms grant you a limited right to use the Service during your subscription and do not transfer ownership.


12. Warranties and Disclaimers

The Service is provided on an “as is” and “as available” basis. While we aim to provide a reliable service, we do not guarantee uninterrupted or error-free operation.


13. Limitation of Liability

To the fullest extent permitted by law:

  • We are not liable for indirect or consequential losses, including loss of profits
  • Our total liability is limited to the fees you paid us in the twelve months preceding the claim

This limitation does not apply to fraud or deliberate misconduct.


14. Indemnity

You agree to indemnify us against claims arising from your use of the Service, including claims relating to your data or your breach of applicable laws.


15. Force Majeure

Neither party is liable for delays or failures caused by events beyond reasonable control, such as outages, natural disasters, or government actions.


16. Assignment

You may not transfer these Terms without our consent. We may transfer them as part of a merger, acquisition, or reorganisation.


17. Changes to These Terms

We may update these Terms from time to time. Continued use of the Service after changes take effect means you accept the updated Terms.


18. Governing Law

These Terms are governed by the laws of England and Wales, and any disputes will be handled exclusively by the courts of England and Wales.
